• No Medical Care: The Company is an administrative software provider, not a licensed healthcare facility, pharmacy, or medical provider. The Website does not employ physicians or directly dispense prescription medications.

• Independent Medical Practices: All clinical consultations, health evaluations, medical diagnoses, and prescription decisions are performed independently by state-licensed healthcare professionals operating through CareValidate’s affiliated professional medical corporations (the "Clinical Partners").

• Administrative Facilitation: Our role is strictly limited to hosting the digital platform, facilitating secure asynchronous communication between you and the Clinical Partners, and coordinating the fulfillment of approved prescriptions with independent compounding pharmacies.

2. Patient Eligibility & Acknowledgments

By initiating any transaction on Celpis.com, you certify and warrant that:

• You are at least eighteen (21) years of age.

• You reside in a state where our independent Clinical Partners are legally authorized to practice.

• You will provide completely truthful, accurate, and up-to-date information across all medical intake questionnaires.

• You recognize that any intentional misrepresentation of your medical history, current health status, or weight could result in immediate termination of services without a refund.

3. Subscription Plans & 4-Month Commitment Contract

To provide affordable, high-quality compounding pharmacy protocols, select programs are structured as multi-month commitment contracts.

• The 4-Month Minimum Commitment: By selecting any 4-month protocol (including the Core GLP-1 track, the Tesamorelin track, or the Ultimate Re-Comp Bundle), you are actively entering into a mandatory minimum commitment contract of four (4) months (120 days).

• Recurring Billing Authorization: You explicitly authorize Celpis.com to charge your provided credit card or payment method the exact specified monthly rate every twenty-eight (28) days for a minimum of four (4) consecutive billing cycles.

• Early Termination Penalty: Because pharmacy manufacturing batches and clinical provider allocations are reserved long-term, early cancellation requests submitted prior to the completion of your initial 4-month term are strictly subject to an early administrative processing fee of $150.00.

4. Automatic Renewal & Cancellation Protocols

• Month-to-Month Rollover: Following the successful completion of your initial 4-month commitment term, your account will automatically roll over into a standard month-to-month subscription at your current recurring rate.

• Refill Continuity: To ensure your custom pharmacy compounding and shipping pipeline is not disrupted, automated recurring charges and prescription shipments will continue indefinitely every 26 to 28 days on cruise control.

• How to Cancel: You may cancel your subscription at any time after your initial 4-month commitment is met. Cancellation requests must be submitted directly through your secure patient portal or via email to support@celpis.com at least seven (7) business days prior to your next scheduled billing date. Requests submitted late will be processed for the following billing cycle.

5. Financial Terms, Pricing, & Fees

• Transparent All-Inclusive Pricing: Your published monthly subscription rate covers the software platform fees, the asynchronous 50-state physician review, custom compounding pharmacy manufacturing, and baseline cold-chain shipping.

• Price Modifications: The Company reserves the right to adjust retail subscription pricing at any time. Active subscribers will receive written email notification at least thirty (30) days prior to any recurring billing price updates.

• Chargeback Penalties: Initiating an unauthorized chargeback or dispute with your credit card company for legally authorized subscription charges constitutes a material breach of this contract. You will be held financially responsible for all merchant handling fees, collection agency costs, and legal fees incurred by the Company to recover the unpaid balance.

6. Pharmacy Fulfillment & Compounded Medications

• Compounding Disclosure: You explicitly acknowledge that all wellness, weight loss, and peptide medications shipped through our platform are customized compounded formulations prepared by independent 503A accredited compounding pharmacies.

• No FDA Approval: Compounded medications are prepared for individual patients pursuant to a specific physician's prescription and are not mass-market generic versions of brand-name drugs, nor are they independently reviewed or approved by the FDA for safety or efficacy.

• Trademark Disclaimer: Celpis.com maintains absolutely no affiliation, partnership, endorsement, or business connection with trademarked commercial drug products including Ozempic®, Wegovy®, Mounjaro®, or Egrifta SV®.

7. Patient Mixing & Self-Administration

• Reconstitution Required: Certain advanced peptide protocols (such as Tesamorelin or Sermorelin tracks) arrive from the pharmacy as a sterile freeze-dried powder cake (lyophilized powder) and must be physically mixed at home by the patient using a diluent liquid (Bacteriostatic Water).

• Self-Injection Consent: You consent to self-administering daily or weekly subcutaneous injections using ultra-fine insulin syringes. You accept full responsibility for reviewing all provided clinical training videos, following strict sanitization steps, executing correct syringe unit math, and maintaining proper cold-storage refrigeration of mixed vials.

8. Refunds & Delivery Exceptions

• All Sales Final: Due to federal and state pharmaceutical safety regulations, prescription medications cannot be returned, restocked, or re-used once they leave the pharmacy. All transactions are non-refundable once a Clinical Partner has officially approved your chart and transmitted the prescription to the manufacturing pipeline.

• Prescriber Rejection Refund: If you complete payment but an independent medical provider determines during your asynchronous medical review that you do not clinically qualify for the protocol, your transaction will be canceled and a 100% full refund will be processed back to your original bank method within 3 to 5 business days.

• Shipping Delays: While we utilize fast courier shipping, the Company is not legally liable for delayed shipments caused by weather, transit disruptions, or carrier errors. Delayed delivery does not entitle the patient to a subscription refund.

9. Limitation of Liability & Indemnification

• Limitation: To the maximum extent permitted by applicable law, in no event shall the Company, its MSO officers, directors, employees, or tech infrastructure partners be held liable for any indirect, punitive, incidental, special, or consequential damages arising out of your use of the Website or medications prescribed by independent physicians.

• Indemnification: You agree to defend, indemnify, and hold harmless the Company and its Clinical Partners from and against any claims, damages, obligations, losses, liabilities, costs, or debts arising from your violation of these Terms, your misrepresentation of medical data, or your failure to follow proper medication administration protocols.

10. Governing Law & Dispute Resolution
